By accessing or using Handoff ("the Service"), operated at justhandoff.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Handoff.
Handoff is a client delivery platform for designers, freelancers, and creative professionals. The Service provides:
You must be at least 16 years old and capable of forming a binding contract to use the Service. By creating an account, you represent that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You may create an account using email and password or through Google OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to provide accurate, current information during registration and to update it as needed. You must notify us immediately of any unauthorized access to your account. We reserve the right to suspend accounts with inaccurate information.
Your content: You retain full ownership of all files, designs, documents, and other content you upload to the Service. Handoff does not claim any intellectual property rights over your content.
License to us: By uploading content, you grant Handoff a limited, non-exclusive, worldwide license to host, store, transmit, display, and reproduce your content solely for the purpose of operating the Service — including serving files to your clients via portal links, generating invoice previews, and creating backups at your request.
Watermarks: Content shared via client portals may include watermarks applied by the Service. These watermarks are removed when you mark the project as complete and approve deliverables. Watermarks are a feature of the Service and do not affect your ownership of the underlying content.
When you share a portal link, you authorize the recipients to view the shared deliverables, leave comments, and take approval actions. You are responsible for sharing portal links only with intended recipients.
Portal links can be regenerated at any time, which immediately revokes access via the previous link. Clients accessing portals are not required to accept these Terms, but their use of the portal is subject to our acceptable use policy.
You agree not to:
Handoff provides invoicing tools and integrations with third-party payment services (PayPal, Venmo, Cash App, Stripe) as a convenience. Payment transactions occur directly between you and your clients through these third-party services.
Handoff does not process, hold, or escrow payments. We are not a party to financial transactions between you and your clients. We are not responsible for payment disputes, chargebacks, fraud, or the conduct of third-party payment processors.
You are responsible for the accuracy of your invoices and for complying with applicable tax laws in your jurisdiction.
Individual file uploads are limited to 10 GB. Total storage quotas may apply depending on your plan. We reserve the right to remove content that exceeds your storage quota after providing reasonable notice. You are encouraged to use the Backups feature to archive completed projects and free up storage.
If you connect Google Drive, you authorize Handoff to create folders and upload files to your Drive on your behalf using the limited drive.file scope. This integration is optional and can be disconnected at any time. Your use of Google Drive is also subject to Google's Terms of Service and Privacy Policy.
We strive to keep the Service available 24/7 but do not guarantee uninterrupted or error-free access. We may perform maintenance, deploy updates, or make modifications that temporarily affect availability. We will make reasonable efforts to notify you of planned downtime.
By you: You may delete your account at any time from the Settings page. Upon deletion, your data will be removed in accordance with our Privacy Policy.
By us: We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, or remain inactive for an extended period (12+ months with no login). We will provide notice before termination when reasonably possible.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or free of errors or defects.
To the maximum extent permitted by applicable law, Handoff and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, or business opportunities, arising from your use of or inability to use the Service — even if we have been advised of the possibility of such damages. Our total cumulative liability shall not exceed the amount you have paid us in the 12 months preceding the claim, or $100, whichever is greater.
You agree to indemnify, defend, and hold harmless Handoff and its owners, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any third-party rights.
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 14 days before they take effect. Your continued use of Handoff after the updated Terms take effect constitutes acceptance. If you do not agree to the changes, you should stop using the Service and delete your account.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Handoff regarding your use of the Service and supersede any prior agreements.
